Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Assertion AI platform and website (the “Platform”) provided by Assertion AI, Inc. (“Assertion AI”, “we”, “us”). By accessing or using the Platform, you agree to these Terms.

1Access and licence

Subject to these Terms and any applicable order, we grant you a non-exclusive, non-transferable right to access and use the Platform for your internal business purposes during the applicable term.

2Acceptable use

You will not misuse the Platform. In particular, you will not:

• attempt to gain unauthorised access to the Platform, to another customer’s data, or to any system or network connected to it;
• interfere with the operation of the Platform, or with any other customer’s use of it;
• reverse engineer, decompile or disassemble the Platform, or attempt to derive its source code;
• use the Platform in violation of applicable law or of anyone else’s rights.

Good-faith security research within your own account is welcome. Security says how to report what you find.

3Your data, and our platform

You retain all rights to the data and materials you provide. You grant us a limited right to use that data solely to provide the Platform to you.

We will not use customer data to train models for other customers, or for our general commercial use, without your consent. Security sets out what that means in practice, including the position we hold our model providers to.

We retain all rights to the Platform itself: the software, models, methodologies and underlying technology, including enhancements and derivatives of them.

4Fees

Fees, if any, are set out in the applicable order or agreement and are payable on the terms stated there. Where you buy a plan directly through the Platform, the price, billing period and renewal shown at checkout are those terms.

5Confidentiality

Each party will protect the other’s confidential information and use it only as needed to perform under these Terms.

6Data protection

Where we process personal data on your behalf, our Data Processing Addendum applies and is incorporated by reference. It is available on request from legal@assertion-ai.com.

7Disclaimers

The Platform is provided on an “as is” and “as available” basis to the maximum extent permitted by law.

Outputs are provided for informational purposes and do not constitute professional, financial or investment advice. The Platform produces analyses, recommendations and recalled context to support your decisions; the decisions remain yours, and you are responsible for reviewing an output before acting on it.

8Limitation of liability

To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages.

Except for payment obligations and breaches of confidentiality, each party’s aggregate liability is limited to the fees paid or payable in the twelve months preceding the claim.

9Term and termination

These Terms apply while you use the Platform. We may suspend or terminate access for material breach. Provisions that by their nature should survive termination will survive it.

You can stop using the Platform at any time, and ask us to delete the data behind your account. Security says how.

10Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.

11Changes

We may update these Terms from time to time. The date at the top of this page tells you when they last changed. Continued use of the Platform after changes take effect constitutes acceptance of them.
