Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Assertion AI platform and website (the “Platform”) provided by Assertion AI, Inc. (“Assertion AI,” “we,” “us”). By accessing or using the Platform, you agree to these Terms. Where a signed agreement exists between Assertion AI and a customer, that agreement governs and controls over any conflict with these Terms.

1. Access and license

Subject to these Terms and any applicable order, we grant you a non-exclusive, non-transferable right to access and use the Platform for your internal business purposes during the applicable term.

2. Acceptable use

You will not misuse the Platform, including by attempting to gain unauthorized access, interfering with its operation, reverse engineering it, or using it in violation of applicable law or third-party rights.

3. Customer data and intellectual property

You retain all rights to the data and materials you provide. You grant us a limited right to use that data solely to provide the Platform. We retain all rights to the Platform, software, models, methodologies, and underlying technology, including enhancements and derivatives. We will not use customer data to train models for other customers or for our general commercial use without consent.

4. Fees

Fees, if any, are set out in the applicable order or agreement and are payable on the terms stated there.

5. Confidentiality

Each party will protect the other’s confidential information and use it only as needed to perform under these Terms.

6. Data protection

Where we process personal data on your behalf, our Data Processing Addendum applies and is incorporated by reference.

7. Disclaimers

The Platform is provided on an “as is” and “as available” basis to the maximum extent permitted by law. Outputs are provided for informational purposes and do not constitute professional, financial, or investment advice.

8. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages. Except for payment obligations and breaches of confidentiality, aggregate liability is limited to the fees paid or payable in the twelve months preceding the claim.

9. Term and termination

These Terms apply while you use the Platform. We may suspend or terminate access for material breach. Provisions that by their nature should survive termination will survive.

10. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.

11. Changes

We may update these Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance.
